1. Who we are
Helio Guard is made by Nexborne Ltd ("we", "us"), registered in England and Wales, company number 17375877. These terms apply when a business ("you") creates a Helio Guard account or uses the service. If you accept them for a business, you confirm you can act for it.
2. What Helio Guard does
Helio Guard checks what staff paste, send and upload on AI sites, on each Windows PC, and takes out, warns about or stops sensitive data, as you set it. It shows your AI policy, rules each AI site, and reports to you what it caught. What it sends and keeps is set out in the privacy policy.
It catches data with a recognisable shape and the words you mark as confidential. It cannot catch everything a person might type, and it does not replace your own policies, training and judgement.
3. Your account
Keep your sign-in details safe and your account details up to date. You are responsible for what happens under your account. Install Helio Guard only on computers your business manages.
4. Telling your staff
You decide to use Helio Guard on your computers, so you decide how its records are used. You must tell your staff before switching it on, and have a lawful reason for it. Helio Guard shows your AI policy the first time each person opens an AI site, to help with this.
5. Trial, price and billing
- New accounts get a 14-day free trial. No card is needed.
- After the trial, Helio Guard is billed monthly, per person protected, with a minimum of 5 people. The price is on the home page, in your currency.
- The number of people is checked once a day, so the bill follows your team as it grows or shrinks.
- Your price per person never rises while you stay subscribed.
- You can cancel at any time. It takes effect at the end of the month you have paid for. Part months are not refunded, unless the law says otherwise.
6. Fair use
Do not use Helio Guard unlawfully, to watch people on computers you do not manage, to get round its security, or to copy or take apart the software beyond what the law allows. We may suspend an account for a serious or repeated breach, and will tell you why.
7. Your data
The records in your account are yours. We look after them for you, as your processor, as described in the privacy policy. Each record is kept for 13 months and then deleted. When you close your account, everything is deleted within 30 days.
8. Our software
We own Helio Guard, its agent, its browser extension and its brand. You may use them while you are subscribed. Nothing else transfers to you.
9. Availability
We work to keep Helio Guard running and will keep planned maintenance short. If our service is unreachable, the checks on each PC carry on with the last settings they received, and records wait on the PC until they can be sent.
10. Liability
Nothing here limits liability that the law does not allow us to limit. Apart from that, we are not liable for indirect loss, or loss of profit, data or goodwill, and our total liability in any 12 months is limited to what you paid us for Helio Guard in those 12 months.
11. Changes
We may update these terms. The new version will be posted here with a new date, and we will email account owners about any important change before it takes effect.
12. Law
These terms are governed by the law of England and Wales, and its courts deal with any dispute.
